  • Represented a large NY-based nursing home owner in the $160M acquisition of a hospital facility, from a purchaser under contract who had filed for bankruptcy.

  • Represented one of the largest US nursing home owners in connection with two separate financings, including preferred equity financing, for the acquisition of nursing home portfolios.

  • Represented a New York City owner/operator in connection with a $130 million refinance of a loan secured by a multi-state portfolio of over 20 commercial-use and industrial properties. The transaction involved the negotiation and execution of the loan transaction, a preferred equity arrangement with the investment fund, and the concurrent reorganization at closing of the corporate structure.

  • Represented many HNW clients in connection with passive and active real estate investments, including advising on the corporate structure and the negotiation of operating agreements, partnership agreements, tenancy-in-common arrangements, and preferred equity investments.

  • Represented two of the largest Israeli insurance companies, in the negotiation of a joint venture with Silverstein Properties to acquire a major office tower in downtown Los Angeles, California for a purchase price of $430 million.

  • Represented  a not-for-profit corporation in a joint venture to acquire a 100 percent affordable property in the Bronx, for $29 million.

  • Represented a well-known NYC developer in a $250M Joint venture for the ownership and development of property in Yonkers, New York.

  • Represented a developer in connection with various joint ventures for the development and operation of student housing properties and luxury multi-family units in North Carolina.

  • Represented a large NJ REIT in the $120 million joint venture to acquire a 14-story multi-family building plus additional air rights on Manhattan’s Upper West Side and a separate joint venture for retail development in Long Island, NY.

  • Represented a prolific owner/developer in connection with several institutional joint ventures for iconic retail property across Europe.
